Definitions
Services means all websites, applications, and related functionalities offered by NexaCore.
User Content means any text, images, files, or data you upload or submit.
Account means the user profile you create to access certain Services.
1. Scope and Acceptance
These Terms of Service (“Terms”) govern your use of nexacore-systems.com and related applications and services.
By accessing or using our Services, you agree to be bound by these Terms.

3. Eligibility
You must be at least 18 years old to use the Services.
Account holders must provide accurate information and safeguard their credentials.
You are responsible for all activity under your account.
4. Services Offered
We provide electrical and automation solutions for residential and industrial clients.
Remote assessments may be offered online; on-site work requires separate project agreements (Master Services Agreement or Statement of Work).
5. Payment Terms
Invoices are issued upon delivery of services or monthly for ongoing projects.
Payment is due within 30 days of invoice date unless otherwise agreed.
Accepted methods include bank transfer and credit card.
Late payments incur interest at 1.5% per month on the outstanding balance.
6. Term and Termination
These Terms remain in effect until terminated by either party.
We may suspend or terminate your access for breach of these Terms or inactivity.
Upon termination, you must cease all use of Services and delete any NexaCore materials.
7. Force Majeure
Neither party is liable for delays or failures due to events beyond their reasonable control, including natural disasters, strikes, or governmental actions.
8. Disclaimers
The Services are provided “as is” and “as available.”
To the maximum extent permitted by law, we disclaim all warranties, express or implied.
Guidance is general and not a substitute for site-specific professional advice.
9. Limitation of Liability
Our liability and that of our affiliates is limited to the greater of US$100 or the total fees you paid for the service giving rise to the claim in the preceding 12 months.
We are not liable for indirect, incidental, special, or consequential damages.
10. Acceptable Use
You agree not to:
- Violate laws or third-party rights
- Introduce malware or harmful content
- Reverse engineer or disrupt our Services
11. Intellectual Property
All content and software on the Services are owned by NexaCore or its licensors.
You receive a limited, non-exclusive license to use the Services for lawful purposes.
12. DMCA and Takedown Procedures
If you believe your copyright is infringed, please submit a notice to our DMCA agent at tobias.geier@nexacore-systems.com.
We will investigate and remove infringing content as required by U.S. law.
13. Modifications
We may update these Terms at any time.
Changes are effective upon posting with a new “Effective Date.”
Continued use constitutes acceptance.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules.
Disputes will be resolved in state or federal courts in Florida.
For EU customers, alternative dispute resolution or arbitration may be available upon request.
